Parrish Highlanders ATV Club
ARTICLE I Purpose, Mission, and Vision
Section 1. The purpose of the Parrish Highlanders ATV Club is to promote and help to provide safe and environmentally friendly trails, so that all can enjoy a positive ATV experience.
Section 2. The mission is to preserve and to advance ATV opportunities.
Section 3. The vision is to educate the ATV community to the ethics of our sport.
ARTICLE II Membership
Section 1. Regular Membership is limited to people who promote responsible riding, and who share the goals and vision of the Club.
Section 2. Associate Membership is open to individuals and/or businesses who wish to support the sport of ATVing and the Club in various ways.

Section 3. Honorary Membership may be awarded to an individual, group, or business by a two-thirds vote of the voting members in attendance at any monthly meeting.
Section 4. Dues: Regular Membership - Individual $ 10.00 Annually
Family $ 20.00 Annually
Associate Membership $50.00 Annually
Honorary Membership Dues Waived
Officers of the Club have their dues waived during term of office.
Section 5. A member may resign from the Club at any time upon written notice to the Secretary of the Club. Failure to pay your annual dues by the date set by the executive committee will result in being dropped from membership.
Section 6. The Club may terminate a person from membership by notifying the person that their membership will be reviewed at the next monthly meeting. A majority vote of the members in attendance at that regular monthly meeting is required to remove a person from membership.
2.Section 7. The members of the Club shall
meet on the 1st Saturday of each Month at 12:00 P.M. during the months of May thru October at a place agreed upon by the majority of the members of the executive committee. Five (5) officers and/or advisors and ten (10) members will constitute a quorum for a club meeting to conduct business.
ARTICLE III Officers
Section 1. The Officers of the Club shall be a President, Vice President, Secretary, and Treasurer.
Section 2. The Term of Officers will be two years or until their successors are elected. At the end of the officer’s term he/she may accept another term if elected .
Section 3. Election of Officers will be at the October regular monthly meeting in the odd numbered years.
Section 4. Members of the Club who are in good standing and are at least 18 years of age
may vote and hold office.
Section 5. The Executive Committee of the Club shall be the President, Vice President, Secretary, Treasurer, Trail Coordinator and ten (l0) Advisors.
Section 6. Any elected officer of the Club for the abuse of his/her authority or misconduct of his/her office may be removed from office by a vote of two-thirds of the members present at any regular meeting, provided that the charges against him/her are made in writing and filed with the Secretary or President at least one (1) month before any vote shall be taken. Upon receipt of the charges theSecretary or President shall inform, in writing, the accused of the charges, andthe time and date of the meeting at which action will be taken. This noticemust be given at least two weeks prior to the meeting.
ARTICLE IV Duties of Officers
Section 1. The President shall have primary responsibility for the legal and financialaffairs of this organization. The President shall preside at the meetings of the Club and the executive committee. The President shall vote only in the event of a tie vote. The President shall appoint ad-hoc committees as deemed necessary. The President may spend up to $200.00 without executive committee approval.
3.Section 2. The Vice President shall assist the
president, when requested, with his duties.The Vice President shall perform all the duties of the President in the absenceof the President. The Vice President shall perform other duties as requested by the executive committee.
Section 3. The Secretary shall keep a record of the meetings of the Club. The Secretaryshall be responsible for the legal records of this Club and perform other duties as generally fall to that office or are requested by the executive committee.
Section 4. The Treasurer shall have primary responsibility for the financial records of the Club. The Treasurer shall oversee and record all collection of dues and all other monies of the Club. The duties also include paying lawful expenses in a timely fashion. This shall include presenting the Club with a financial report ateach monthly meeting. The Treasurer’s records shall be subject to an annual audit before the annual meeting, by a committee consisting of one officer and one non-officer of the Club.
Section 5. The Trail Coordinator, appointed by the president, shall be responsible to oversee the maintenance and construction of the ATV trail system of the Parrish Highlanders. He shall report trail conditions to the members at the monthly Club meetings.
Section 6. Up to Ten (10) Advisors shall be appointed by the President annually at the May meeting to serve on the executive committee. The duties of the advisors shall be determined by the officers.
Section 7. The officers and advisors of this organization shall be required to attend at least two thirds (2/3) of the regular meetings held by the Club, unless they request an excused absence. Officers or advisors not attending the required number of meetings shall be reviewed by the Executive Committee.
ARTICLE V Fiscal Year
Section 1. The fiscal year of this organization shall be the calendar year from January 1st through December 31st.
ARTICLE VI Amendments
Section 1. These By-Laws may be amended by a regular member submitting, in writing, a proposed amendment. This proposed amendment shall be referred to a By-Laws Committee, who will report at the next monthly meeting recommending the proposed amendment be adopted or rejected. A majority vote of the voting members present is necessary for the passage of the amendment.
ARTICLE VII Disbandment
Section l. This organization may be disbanded by a three-fourths (¾) vote of the members in attendance at a special meeting called for disbandment.
Section 2. Notice of Disbandment must be sent in writing to all members. This notice must be sent at least three (3) weeks prior to the date of the special meeting.
Section 3. Upon disbandment, all monies of the Club will be disbursed to a like ATV Club, Alliance or Association voted on at the special meeting. Monies must be disbursed and final auditors’ report must be sent to club members within 20 (20) days of the disbursement of the funds.
